Terms of Service

These Terms of Service ("Terms") govern your access to and use of Singlemonkey Solutions' website (singlemonkey.com) and products. By using our services, you agree to be bound by these Terms. If you disagree, please do not use our services.

1. About us

Singlemonkey Solutions is a sole proprietorship registered in India, operated by Jitender Agarwal. Registered office: 110, Suraj Arcade, Hyderabad, Telangana - 500018, India. Udyam Registration Number: UDYAM-TS-02-0330777.

2. Your account

To use our paid services, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access
• Be responsible for all activity that occurs under your account
• Be at least 18 years of age and legally capable of entering into a contract

3. Acceptable use

You agree NOT to use our services for:

• Sending spam, unsolicited messages, or any content that violates WhatsApp Business Policy
• Sending messages to recipients who have not given proper consent
• Messaging to abuse, harass, defraud, or mislead recipients
• Distributing malware, phishing content, or any illegal material
• Infringing third-party intellectual property rights
• Reverse-engineering, scraping, or otherwise abusing our systems
• Reselling access to our services without written permission
• Any activity that violates Indian law or the laws of your jurisdiction

We reserve the right to suspend or terminate accounts that violate this clause, without refund.

4. Subscription and payment

Paid plans are billed monthly or annually in advance. By subscribing, you authorize us (through our payment partners Razorpay and Stripe) to charge your payment method on each billing cycle until you cancel.

• Prices are displayed on our Pricing page and may be in INR or USD depending on your region
• Indian customers: prices shown include all applicable taxes. GST will be added separately once we cross the statutory threshold and register, with advance notice to all customers.
• You may cancel any time from your account dashboard; cancellation takes effect at the end of the current billing period
• We may change prices with at least 30 days' notice. Existing billing cycles are unaffected.
• Failed payments: we will retry over 7 days; accounts with persistent payment failures are suspended

5. Refunds

Our refund policy is described in detail on our Refund & Cancellation Policy page, which forms part of these Terms.

6. Intellectual property

All content on singlemonkey.com and within our software — including logos, designs, text, code, and documentation — is owned by Singlemonkey Solutions and protected by copyright and trademark law. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain all rights to the data you upload to our services (recipient lists, message content, etc.). By using our services, you grant us a limited licence to process that data solely to provide the service to you.

7. Third-party services

Our products integrate with third-party services such as Google Workspace, MSG91, Gupshup, Meta Cloud API, Interakt, WATI, Razorpay, and Stripe. Your use of these services is governed by their respective terms. We are not responsible for third-party outages, pricing changes, or policy changes.

8. Service availability

We aim for 99.5% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance, which we will announce via email or status page at least 48 hours in advance when possible. Status updates are available at status.singlemonkey.com.

9. Warranty disclaimer

Our services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our services will be error-free, secure, or uninterrupted.

10. Limitation of liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from these Terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption
• We are not liable for damages caused by third-party services, including your chosen WhatsApp Business provider

11. Indemnification

You agree to indemnify and hold harmless Singlemonkey Solutions and its proprietor from any claim, loss, or expense arising from your use of our services, your content, or your violation of these Terms.

12. Termination

Either party may terminate the agreement at any time:

• You: Cancel your account from your dashboard or by writing to support@singlemonkey.com
• Us: We may suspend or terminate your account for violation of these Terms, unpaid invoices, or at our discretion with 30 days' notice

Upon termination, your right to use our services ends immediately. See our Privacy Policy for data retention after termination.

13. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

Before filing any legal action, both parties agree to attempt good-faith negotiation for at least 30 days.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email at least 14 days before they take effect. Continued use of our services after changes means you accept the new Terms.
